Terms of Service & Limitation of Liability
These Terms govern your access to and use of Drumforge AI. By using the Service, you agree to these Terms and our Privacy Policy.

Important notice for account owners
Until your formal LLC filing is approved, you may be acting as a sole proprietor. Section 5 below is intended to limit aggregate liability and protect personal assets from being targeted beyond the cap described therein. Consult qualified counsel before relying on any legal document.
1. Scope of Service
Drumforge AI provides automated, AI-driven lead management software that integrates with third-party customer relationship management (CRM) software, specifically Follow Up Boss (FUB). Our platform acts strictly as a data processor tool. The client retains full responsibility for the ultimate communications sent to their end consumers.
2. Fair Use, Volume Caps, and Infrastructure Integrity
To maintain system stability and preserve platform margins, subscriptions are structured under tiered team pricing with strict AI conversation guardrails:
- Boutique (1–3 agents): up to 150 AI-managed lead conversations per monthly billing cycle.
- Growth Team (4–10 agents): up to 500 AI-managed lead conversations per monthly billing cycle.
- Enterprise (11+ agents): custom conversation threshold as agreed in your contract.
Overage handling: If an account crosses its designated monthly conversation limit, automatic AI processing will temporarily pause, and the account owner will be prompted to approve a tier upgrade or custom overage arrangement before automation resumes.
3. Third-Party Software & API Dependencies
Drumforge AI relies entirely on external application programming interfaces (APIs), including but not limited to Follow Up Boss and third-party email delivery services. We accept no liability or responsibility for outages, service changes, API deprecations, credential revocations, or data losses caused directly or indirectly by third-party vendor platforms.
4. Client Warranties and Content Disclaimer
The client assumes sole responsibility for verifying the legal compliance of their lead lists. The client explicitly warrants that all leads processed by Drumforge AI have consented to receive commercial communications in strict compliance with the CAN-SPAM Act, TCPA, and local telemarketing regulations.
Because our services utilize generative artificial intelligence to draft communications, the client acknowledges that automated systems can occasionally produce errors, inaccuracies, or unexpected textual variants ("hallucinations"). The client agrees to monitor automated communications and holds Drumforge AI harmless for any reputational, financial, or legal damages arising from text written or sent by the automated system.
5. Strict Limitation of Liability (Asset Protection Clause)
To the maximum extent permitted by applicable law, in no event shall Drumforge AI, its founders, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, reputational damage, or other intangible losses, arising out of or relating to your access to or use of the Service.
Cap on total liability: Under no circumstances shall the aggregate liability of Drumforge AI, or its founder in an individual capacity pending enforcement of an LLC, exceed the total amount actually paid by the client to Drumforge AI in the one (1) month immediately preceding the incident giving rise to such liability. This limitation applies regardless of whether the claim sounds in contract, tort (including negligence), breach of warranty, or any other legal theory.
6. Governing Law & Dispute Resolution
These terms shall be governed, construed, and enforced exclusively in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within that jurisdiction.
